Acceptance of Terms

By accessing or using the SmartCoders Consulting website and services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

We reserve the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the revised terms. We will notify users of significant changes via email or a prominent notice on our website.

Services

SmartCoders Consulting provides technology consulting, software development, cloud solutions, UI/UX design, and related digital services to businesses.

All services are subject to a separate written agreement or Statement of Work (SOW) between SmartCoders Consulting and the client. These Terms form the baseline agreement where no other contract exists.

• Managed services and ongoing support

Intellectual Property

Unless otherwise stated, the text, graphics, design, and software on this website, and the SmartCoders Consulting name and logo, are the property of SmartCoders Consulting and are protected by applicable intellectual property laws.

Third party names, logos, and trademarks shown on this website, including client logos and technology platforms such as AWS, Microsoft Azure, Google Cloud, Oracle, OpenText, and WordPress, belong to their respective owners. They are used only to identify those companies and technologies and do not imply endorsement. Photographs, illustrations, and icons are credited to their respective owners and creators and are used under their licence terms.

Upon full payment, clients receive ownership of custom deliverables created specifically for them as outlined in the project agreement. SmartCoders retains ownership of all pre-existing tools, frameworks, libraries, and methodologies used in delivery.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of any service agreement.

SmartCoders Consulting will not disclose client information to third parties without explicit consent, except as required by law or to subcontractors bound by equivalent confidentiality obligations.

Payment Terms

Payment terms are specified in individual project agreements. Unless otherwise agreed, invoices are due within 30 days of issue. Late payments may attract interest at the rate specified in the project agreement.

• A deposit may be required before project commencement
• Milestone payments are due upon completion of agreed deliverables
• Disputed invoices must be raised in writing within 7 days of receipt
• SmartCoders reserves the right to pause work on overdue accounts

Limitation of Liability

SmartCoders Consulting shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website, even if advised of the possibility of such damages.

Our total liability to any client for any claim shall not exceed the total fees paid by that client in the three months preceding the claim.

Termination

Either party may terminate a service agreement with written notice as specified in the project agreement. Upon termination, the client is responsible for payment of all work completed up to the termination date.

SmartCoders Consulting reserves the right to terminate services immediately if a client violates these Terms or engages in conduct deemed harmful to our team, reputation, or other clients.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana, India.
